Part A — Use of this website
1. Acceptance
By accessing exosest.eu (the "Site") you agree to these Terms of Use. The Site is operated by Exosvantax OÜ, a private limited company registered in Estonia ("Exosvantax", "we"). If you do not agree, please do not use the Site.
2. Information on the Site
The content on the Site is for general information. Prices, delivery times and package contents shown are indicative planning figures and do not constitute a binding offer. A binding offer is only made in a written quote issued by Exosvantax.
3. Intellectual property
All text, diagrams, illustrations, animations, code and branding on the Site are owned by Exosvantax OÜ or its licensors and protected by copyright and trademark law. You may view and print pages for personal or internal business reference. You may not copy, reproduce, modify, distribute or create derivative works from any Site content, including example diagrams, without our prior written permission.
4. Acceptable use
You must not use the Site in any way that is unlawful, that damages or disrupts the Site, that attempts to gain unauthorised access to our systems, or that scrapes or harvests content or personal data.
5. Third-party links
The Site may link to third-party websites (e.g. social networks). We are not responsible for their content or privacy practices.
6. Disclaimer and liability
The Site is provided "as is". To the extent permitted by law, Exosvantax excludes all warranties and will not be liable for any indirect or consequential loss arising from use of, or inability to use, the Site. Nothing in these terms limits liability for intentional misconduct or gross negligence, or any liability that cannot be excluded under Estonian law.
Part B — General terms for design services
These general terms apply to every quote and project agreement between Exosvantax and a client unless agreed otherwise in writing.
7. Scope and quotes
Each project is defined in a written quote describing the deliverables (e.g. number of diagrams, formats, revision rounds, delivery date) and a fixed price. The quote is valid for 30 days. Work begins once the client accepts the quote in writing (email suffices) and any agreed deposit has been received.
8. Client cooperation
The client agrees to attend the discovery call, provide brand assets and source material, and give consolidated feedback within 5 business days of each delivery. Delivery dates shift accordingly if feedback or materials are late.
9. Revisions and changes
The quote states the number of revision rounds included (standard: two). A revision round is a consolidated set of feedback on the current version. Changes to the agreed structure after wireframe approval, or additional rounds, are quoted separately as a flat fee before the work is done.
10. Prices, VAT and payment
Prices are in euros, excluding VAT unless stated otherwise. Estonian VAT (currently 24%) is added where applicable; reverse charge applies to VAT-registered EU business clients outside Estonia. Unless agreed otherwise, 50% is invoiced on acceptance and 50% on delivery of final files. Invoices are payable within 14 days. Late payments accrue statutory interest under the Estonian Law of Obligations Act.
11. Delivery and acceptance
Final files are delivered electronically. Deliverables are deemed accepted if the client does not raise written objections within 10 business days of delivery.
12. Intellectual property in deliverables
Upon full payment, the client receives a perpetual, worldwide, exclusive licence to use, reproduce and modify the final diagrams for its own business purposes in any medium. Exosvantax retains ownership of preliminary sketches, unused concepts, its working methods and any generic components, icon systems and templates. Exosvantax may display the finished work in its portfolio and marketing unless the client objects in writing before delivery.
13. Client materials
The client warrants that it owns or is licensed to use all logos, text, photos and data it provides, and indemnifies Exosvantax against third-party claims arising from those materials.
14. Confidentiality
Both parties keep each other's non-public business information confidential and use it only for the project. This obligation survives for 3 years after the project ends.
15. Cancellation
The client may cancel at any time in writing. Work completed to that date is invoiced pro rata; any deposit is non-refundable once the discovery call has taken place. Exosvantax may terminate if invoices remain unpaid 30 days after the due date or the client is in material breach.
16. Liability
Exosvantax's total liability under a project is limited to the fees paid for that project. Exosvantax is not liable for indirect losses, lost profit or business interruption. Diagrams are produced from information supplied by the client; the client is responsible for the accuracy of the content shown.
17. Governing law and disputes
These terms and any project agreement are governed by the laws of the Republic of Estonia. The parties will first attempt to resolve disputes amicably; failing that, Harju County Court (Harju Maakohus) in Tallinn has jurisdiction. Consumers retain any mandatory rights under the law of their country of residence and may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
18. Changes
We may update these terms; the version in force at the time a quote is accepted applies to that project. Changes to Part A take effect when published on this page.
